Terms of Service

Notice: Palivon's website is governed by three documents that work together: these Terms of Service, our Privacy Policy, and our Cookie Notice. By using palivonconsulting.com, you acknowledge that all three documents apply to your use of the Site. We encourage you to review each.

Welcome to palivonconsulting.com (the "Site"). These Terms of Service ("Terms") govern your access to and use of the Site, which is operated by Palivon Consulting LLC, doing business as Palivon Consulting and Palivon (collectively, "Palivon," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms govern only your use of the Site. If you engage Palivon for consulting services, those services are governed by a separate Master Services Agreement and applicable Statement of Work — not these Terms.

2. Permitted use of the Site

You may use the Site for any lawful purpose, including:

  • Reading our content and learning about our services
  • Submitting forms to contact us or request information
  • Subscribing to our newsletter
  • Scheduling meetings with us
  • Linking to the Site from other websites, subject to the conditions in Section 8

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for these purposes.

3. Prohibited uses

  • Use any trademarks, logos, or branding on the Site to suggest endorsement or affiliation we have not granted
  • Reverse engineer, decompile, or attempt to extract source code from any software underlying the Site

We reserve the right to investigate and pursue any violation of these Terms, including by referring violators to law enforcement or pursuing legal remedies.

4. Intellectual property

The Site and its contents — including text, graphics, logos, images, audio, video, software, and the overall design — are owned by Palivon or our licensors and are protected by copyright, trademark, and other intellectual property laws.

"Palivon," "Palivon Consulting," and the Palivon logo are trademarks of Palivon Consulting LLC. You may not use them without our written permission, except for fair-use purposes such as factual reference to our business.

Nothing on the Site grants you any license or right to use any intellectual property of Palivon or our licensors except as expressly stated in these Terms.

You may:

  • View, print, and download content from the Site for your personal, non-commercial reference
  • Share links to public pages of the Site on social media or in communications

You may not:

  • Reproduce, modify, distribute, or republish content from the Site for commercial purposes without our written permission
  • Remove or alter any copyright, trademark, or other proprietary notices

5. Content disclaimers

The Site contains general informational content about our services, our approach, and topics we believe may be of interest to our visitors and clients.

Content on the Site is provided for informational purposes only. It is not, and should not be relied on as:

7. Text messaging (SMS) communications

If you opt in to receive text messages from Palivon Consulting LLC, the following terms apply to those communications. These terms supplement our Privacy Policy, which describes how we handle your information generally.

SMS consent communication

Information (phone numbers) obtained as part of the SMS consent process will not be shared with third parties for marketing purposes.

Types of SMS communications

If you have given consent to receive text messages from Palivon Consulting LLC, you may receive messages related to the following:

  • Responses to questions or requests you have sent us
  • Updates on the status of an active engagement or project
  • Scheduling and appointment coordination, including reminders
  • Referrals to a vendor or support resource relevant to your inquiry
  • Follow-up on a consultation request or a conversation already underway

Examples:

  • "[Palivon Consulting] Hello, Here is a link to our website as you requested: https://palivonconsulting.com Reply STOP to opt out."

  • "Welcome to Palivon Consulting! Feel free to reach out to us at this number if you have any questions about your active engagements or would like to discuss utilizing any of our other services. Reply STOP to opt out."
  • "[Palivon Consulting] The best number to use to contact your CRM's support team is 123-456-7890. They will be the best resource to answer your question. Reply STOP to opt out."

Message frequency

Message frequency may vary depending on the type of communication.

Potential fees for SMS messaging

Standard message and data rates may apply, depending on your carrier's pricing plan. These fees may vary if the message is sent domestically or internationally.

Opt-in method

Opt-in to receive SMS messages from Palivon Consulting LLC can be done in the following ways:

  • Conversational — by sending a text message to our business number, or by providing your mobile number to us during a call, meeting, or consultation and agreeing to be contacted by text
  • By submitting an online form on this Site and checking the SMS consent box

Opt-out method

Opting out of receiving SMS messages can be done at any time by replying "STOP" to any SMS message received. Alternatively, you may contact us directly to request removal from our messaging list.

After you opt out, you will receive a one-time confirmation message, and no further messages will be sent unless you choose to opt back in.

If you do not wish to receive SMS messages, the SMS consent box on our forms can be left unchecked.

8. Links to and from the Site

Linking to our Site

You may link to palivonconsulting.com from other websites, provided that:

  • The link is to a publicly accessible page
  • Your use of the link does not falsely suggest endorsement, sponsorship, or affiliation
  • You do not frame, mirror, or otherwise display the Site within another website in a way that obscures our branding
  • You do not use our trademarks except to identify us as the destination of the link
  • The linking website does not contain content that is unlawful, defamatory, infringing, or otherwise objectionable

We reserve the right to revoke linking permission at any time.

Links from our Site to third-party sites

The Site may contain links to third-party websites (vendor pages, articles, professional resources, etc.). These links are provided for convenience. We do not control third-party websites and are not responsible for their content, accuracy, or practices. Inclusion of a link does not imply endorsement.

When you leave the Site by following an external link, our Terms and Privacy Policy no longer apply. Review the terms and privacy policies of the destination site.

9. User-generated content

The Site does not currently accept user-generated content such as comments, forum posts, reviews, or public submissions. The only information you submit is through contact forms, scheduling tools, and newsletter signups, all of which are handled per our Privacy Policy.

If we add user-generated content features in the future, these Terms will be updated to address those features.

10. Disclaimer of warranties

The Site is provided "as is" and "as available" without warranties of any kind, either express or implied.

To the maximum extent permitted by law, we disclaim all warranties, including:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components
  • Warranties about the accuracy, reliability, completeness, or timeliness of any content on the Site
  • Warranties about the results of using the Site

You use the Site at your own risk. We do not guarantee that the Site will be available at any particular time or that it will meet your requirements.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the maximum extent permitted.

11. Limitation of liability

To the maximum extent permitted by law, Palivon's total liability to you for all claims arising out of or relating to your use of the Site is limited to the greater of zero U.S. dollars ($0) or the amount you paid to access the Site. Because the Site is provided free of charge, this amount is zero dollars ($0).

In no event will Palivon, its members, employees, agents, or affiliates be liable for any:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages
  • Lost profits, lost data, business interruption, or loss of goodwill
  • Damages resulting from your use of, or inability to use, the Site
  • Damages resulting from any content on the Site, or any action you take based on that content
  • Damages resulting from any third-party content, links, or services accessed through the Site

This limitation applies regardless of the legal theory on which a claim is based (contract, tort, statute, or otherwise), and applies even if we have been advised of the possibility of such damages.

If you are dissatisfied with the Site or these Terms, your sole and exclusive remedy is to stop using the Site.

Note: This limitation of liability applies only to your use of the Site. It does not apply to client engagements, which are governed by separate Master Services Agreements with their own liability provisions.

12. Indemnification

You agree to defend, indemnify, and hold harmless Palivon, its members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your access to or use of the Site
  • Your violation of these Terms
  • Your violation of any law or the rights of any third party in connection with your use of the Site
  • Any content you submit through the Site

We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. The federal and state courts located in Maricopa County, Arizona have exclusive jurisdiction over any claim not subject to arbitration under this Section.

Mediation first

Before initiating arbitration or litigation, the parties agree to attempt in good faith to resolve any dispute through mediation administered by a mutually agreed mediator in Maricopa County, Arizona. If the parties cannot agree on a mediator within 15 days of a written request, either party may proceed to arbitration.

Binding arbitration

If mediation does not resolve the dispute within 60 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Maricopa County, Arizona. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exception for injunctive relief

Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction without first completing mediation or arbitration, where necessary to prevent irreparable harm.

Class action waiver

You agree to bring any claim against Palivon only in your individual capacity, not as a plaintiff or class member in any class action or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top of this page. For material changes, we'll also update the "Effective" date and post a notice on the Site.

Your continued use of the Site after we post changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, please stop using the Site.

15. Entire agreement

These Terms, together with our Privacy Policy and Cookie Notice, constitute the entire agreement between you and Palivon regarding your use of the Site. They supersede any prior agreements or understandings, whether written or oral, relating to the Site.

If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
